Terms and conditions of purchase, and warranty
Your purchase is subject to your acceptance of these terms and conditions.
Agreement
You and Pa-software agree that your order is an offer to purchase the product(s) listed in your order (Products)
on the terms and conditions below which will become a contract (Agreement) when accepted by Pa-software. Pa-software will confirm acceptance by
dispatching the Products to you. You confirm that you have the legal authority to enter into this agreement on your own behalf or on
behalf of any other party you represent.
This agreement may only be altered or modified by written agreement signed by both you and Pa-software.
If any provision of this Agreement is held to be invalid by any law, rule or regulation, or by the final determination of any court with
appropriate jurisdiction, such invalidity shall not affect the enforceability of any other provision of this Agreement.
Governing law
The sale will be subject to the laws of England and Wales.
Payment terms
Pa-software accepts only the payment options shown on the product ordering screen.
For credit and debit card payments, only the credit and debit cards mentioned on the product ordering screens are available for the payment
of your purchase. Your card will be debited immediately before we despatch the Products to you. Your credit card or debit card will be debited
by the company Pa-software has contracted to process credit card transactions on our behalf. You will see
Pa-software on your card statement. The debit will be in whichever currency you opted for in the order screen.
For PayPal payments, only the currencies available on the product ordering screen are accepted. If a credit or debit card is used the payment
will be debited by PayPal and you will see PayPal *Pa-software on your card statement. Other restrictions may be applied by PayPal.
For Nochex payments, only the currencies available on the product ordering screen are accepted. If a credit or debit card is used the payment
will be debited by Nochex and you will see Nochex Ltd on your card statement. Other restrictions may be applied by Nochex.
If the primary card processor fails, we reserve the right to use of a secondary card processor such as PayPal, in which case your card statement will
reflect the secondary card processor.
Payments made by electronic transfer or personal, business, and cashier's checks will require a holding period up 10 business days upon receipt
to allow the payment to clear. Some cheque's may require longer. Payments must be made in the currencies available on the product ordering screen.
Note: Pa-software does not store credit/debit card details. Pa-software also does not share credit/debit card details or customer details (including e-mail addresses) with any 3rd parties. If a repeat order or upgrade is requested, new payment details will be required.
Taxes
In Europe, any applicable Value Added Tax or equivalent is included. Any other local, city or state tax, or any import duty payable are your
responsibility and you agree to pay these taxes.
Title and risk of loss
Title to Pa-software products remains with Pa-software as licensor. Where physical shipment is involved, Pa-software will carry the
risk of loss until the delivery of the Products to the address you provided on the order screen.
Trial period or demonstration
Pa-software provides demonstration and trial versions of software products for download, free of charge and without a license key, for a limited
time, a limited number of uses or limited use, from Pa-software's web site. You agree that you have the opportunity to download and test the
software prior to your purchase, and that your purchase of a license indicates that you have satisfied yourself of the software's merchantability
and fitness for purpose. You further agree that since you have had the opportunity to download and test the software prior to your purchase,
Pa-software will not accept any changes to or refund of your order because of your inability to download the software subsequent to your purchase,
or because the software doesn't perform a particular function. Pa-software reserves the right to refund an order if it is proved that there is a
difference between a demonstration product and a purchased product.
Warranty
Pa-software warrants that the software will perform in substantial conformance with the user documentation for a period of one hundred and eighty
(180) days from the date of purchase of the original license. Where Pa-software supplies media, Pa-software warrants the media containing the software
against failure during the warranty period. Pa-software makes no warranty or representation that the operation of the software will be uninterrupted
or error free, nor does Pa-software warrant that all errors in the software products will be corrected.
The media warranty excludes damage caused by misuse or neglect and damage caused by accident, fire, other hazards or acts of God.
Should a covered defect occur during the warranty period and you notify Pa-software, your sole and exclusive remedy shall be, at Pa-software's sole
option and expense, to replace the media or software. If Pa-software cannot reasonably replace the media or software then Pa-software may, at its sole
discretion, refund the purchase price paid for the software license, provided that you agree, in writing, to remove any installed copies of the software
and destroy any copies of the license key(s). Pa-software warrants any replaced item for a period of ninety (90) days from shipment or until the end of
the original warranty, whichever is longer.
To obtain warranty service, you must contact Pa-software Technical Support within the applicable warranty period. Pa-software will acknowledge receipt
of the warranty request and advise you how to proceed: dated proof of the original purchase will be required.
Disclaimer: The foregoing warranties and remedies are exclusive and in lieu of all other warranties, express or implied, including warranties of
merchantability and fitness for a particular purpose. Some countries, states or provinces do not allow the exclusion or limitation of implied warranties
or the limitation of incidental or consequential damages, so the above limitations and exclusions may be limited in their application to you.
Software license
All software is provided subject to the end-user license agreement that is part of the package. You agree that you will be bound by the license
agreement once you have downloaded the software from Pa-software's web site or the package is opened, or its seal is broken.
Products
Pa-software has a policy of continuous improvement of Products. Pa-software may revise, improve or withdraw Products at any time without prior notice
and without reason.
Limitation of liability
Our liability for any loss or damage you may suffer as a result of using our software is limited to the purchase price of the license. Pa-software
will not be liable for any incidental, special, or consequential damages, to the full extent such liability may be disclaimed by law.
Use of Products
You agree and represent that you are buying the Products for your own or your organization's own internal use and not for resale. Pa-software has
separate terms and conditions regarding purchase for resale.
